Terms of Service

1. Introduction

Welcome to danex.ai, a service operated by Edanex Yazılım Tur. Tic. A.S. ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the danex.ai website, applications, and related services (collectively, the "Service"). Please read these Terms carefully before using the Service.

2. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. You may not use the Service if you are prohibited from doing so under applicable law or if your account has been suspended or terminated by us.

4. Description of the Service

danex.ai provides tools to create, customize, and manage AI-generated virtual personas and related media, including images, videos, and synthetic voice audio. Depending on your plan, the Service may also include brand asset management, product photography workflows, credit-based generation, social account linking, auto-posting, voice design and text-to-speech for fictional AI influencers, and other features we make available from time to time. Features may change, be added, or be removed as the Service evolves.

5. Accounts, Security, and Acceptable Use

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree NOT to:

• Violate any applicable law or third-party rights
• Create, upload, generate, or distribute unlawful, harmful, deceptive, harassing, defamatory, or infringing content
• Create content depicting real individuals without their consent, including deepfakes or impersonations intended to mislead
• Design, generate, or use synthetic voices to impersonate a real person without the rights and permissions required to do so, or in a manner intended to deceive others about whether the voice is AI-generated
• Generate sexually explicit content involving minors or content that exploits or endangers minors in any way, including voices or personas depicted as under 18
• Attempt to bypass plan limits, credit systems, watermarks, security controls, or access restrictions
• Reverse engineer, scrape, overload, or interfere with the Service except as permitted by law
• Use the Service to spam, phish, or distribute malware

We may investigate violations and suspend or terminate accounts that breach these Terms.

6. Subscriptions, Credits, and Payments

Plans: The Service offers free and paid subscription tiers with different credit allocations, persona limits, and feature access. Plan details are displayed on our pricing pages and may change from time to time.

Billing: Paid subscriptions are billed in advance on a recurring monthly or yearly basis through Stripe. By subscribing, you authorize us and our payment processor to charge your selected payment method at the start of each billing period.

Free trials: From time to time, we may offer a free trial for the Pro plan (currently a 5-day trial where available). Trial availability, length, and eligibility are shown at checkout and may change or be withdrawn at any time. To start a trial, you may be required to provide a valid payment method. Unless you cancel before the trial ends, your subscription will automatically convert to a paid Pro plan and your payment method will be charged at the then-current rate for the billing interval you selected. Trials are limited to one per user or account (or household, where applicable), and we may refuse or revoke a trial if we reasonably believe it has been abused or obtained in violation of these Terms.

Credits: Generation features consume credits according to the rules of your plan. Credits may expire, reset, or be allocated according to plan terms displayed in the Service. Unused credits have no cash value except where required by law.

Cancellations: You may cancel a paid subscription through the billing portal or account settings. If you cancel during a free trial before it ends, you will not be charged for that trial period, subject to how your trial is configured at checkout. After a trial converts to a paid subscription, cancellation stops future renewals but does not entitle you to a refund for the current billing period unless required by applicable law.

Refunds: Except where required by applicable consumer protection law, all payments — including monthly and yearly subscriptions — are final and non-refundable. If you use any paid credits after a purchase or renewal, you are not eligible for a refund for that billing period, except where mandatory law requires otherwise. 7. Content Ownership, License, and Public Display

Your content: As between you and danex.ai, you retain ownership of content you upload and outputs you lawfully generate using the Service, subject to these Terms and third-party rights.

License to danex.ai: You grant danex.ai a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and use your content as necessary to operate, secure, improve, and promote the Service. This includes displaying selected content in product marketing, public explore galleries, or promotional materials where permitted by your plan and applicable law.

Third-party rights: You represent that you have all rights necessary for your uploads, prompts, and use of generated outputs, and that your content does not infringe intellectual property, privacy, publicity, or other rights of any person or entity.

8. Commercial Use by Plan

Free plan: Content generated while on the Free plan is intended for personal, non-commercial use only. Free plan downloads may include watermarks. You may not use Free plan outputs for commercial purposes unless we expressly authorize it in writing.

Paid plans (Pro, Premium, and equivalent paid tiers): Subject to these Terms, subscribers on eligible paid plans may use their generated outputs for commercial purposes, including brand, marketing, social media, and product-related use cases supported by the Service. Commercial use does not include unlawful use, use that infringes third-party rights, or use that violates platform rules of connected social networks or app stores.

9. AI Outputs and Disclaimers

The Service uses artificial intelligence and third-party model providers. Content you create with danex.ai — including images, videos, voice, and persona materials — is AI-generated synthetic media. Outputs may be inaccurate, incomplete, unexpected, or similar to other generated content. Outputs are provided "as is" and may not be unique.

You are solely responsible for reviewing outputs before publishing or using them commercially. danex.ai does not guarantee that outputs will be free from claims by third parties, suitable for any particular purpose, or compliant with laws in every jurisdiction where you use them.

Disclosure and platform rules: You must comply with Instagram, TikTok, Meta, advertising, and sponsorship disclosure rules, and with applicable law, when you publish AI-generated or virtual influencer content. Do not use the Service to impersonate a real person without the rights and permissions required to do so. We recommend labeling realistic AI content where required (for example, using platform AI labels) and stating that your creator is an AI or virtual influencer in your bio when that would reduce audience confusion.

10. Voice Generation and Synthetic Voices

Scope: Where available on your plan, Voice Generation lets you design a synthetic voice for a fictional AI influencer persona from a text description (voice design) and generate speech audio from text using that locked voice (text-to-speech). The Service does not offer voice cloning from uploaded audio samples. You may not upload voice recordings to clone a real person's voice through danex.ai.

Fictional personas only: Designed voices and generated speech must be used for fictional or clearly labeled virtual influencers. You must not use Voice Generation to impersonate a real individual, to deceive others about whether audio is AI-generated, or to create voices for personas depicted as under 18.

Third-party voice providers: Voice design and text-to-speech may be powered by third-party providers (including ElevenLabs). Scripts, voice descriptions, persona attributes used to build voice prompts, and related generation parameters may be transmitted to those providers solely to provide the feature. Your use of Voice Generation must also comply with the applicable provider's terms and prohibited-use policies, including the ElevenLabs Prohibited Use Policy (as updated from time to time), to the extent those restrictions apply to the outputs and uses you make through danex.ai. Where those policies are more restrictive than these Terms, the more restrictive rules apply to your use of the voice features.

No agency; third-party beneficiary: danex.ai is not an agent, partner, or joint venture of ElevenLabs or other voice providers. ElevenLabs is an intended third-party beneficiary of the restrictions in this Section 10 and the Acceptable Use rules in Section 5 that relate to synthetic voice, and may enforce those restrictions against you to the extent permitted by law.

Disclosure: Synthetic voice audio is AI-generated. You remain responsible for labeling and disclosing AI or virtual-influencer content where required by law or by the platforms where you publish.

11. Social Posting and Third-Party Platforms

If you connect social accounts or use auto-posting features, you authorize us and our integration partners to access and publish content on your behalf according to your instructions. You remain responsible for compliance with each third-party platform's terms, community guidelines, disclosure rules (including advertising and sponsorship disclosures), and applicable law. We are not responsible for actions taken by third-party platforms.

12. Suspension, Termination, and Data Access

We may suspend or terminate your account immediately if you violate these Terms, create risk for us or other users, fail to pay applicable fees, or where required by law. You may delete your account at any time through account settings.

Upon termination, your right to use the Service ends. You may request assistance retrieving content before deletion by contacting [email protected], subject to technical and legal limitations.

13. Limitation of Liability

To the maximum extent permitted by applicable law, danex.ai and its affiliates, officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities arising from your use of the Service.

To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) USD $100. Some jurisdictions do not allow certain limitations, so these limits may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Edanex Yazılım Tur. Tic. A.S. and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

15. Changes to the Service or Terms

We may modify the Service or these Terms at any time. When we make material changes, we will post the updated Terms and update the version and effective date. Where required by law, we will provide additional notice. Continued use after changes become effective constitutes acceptance of the updated Terms, except where applicable law gives you additional rights.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law principles. In case of a legal dispute arising from these Terms or the Service, the courts of İzmir, Türkiye shall have exclusive jurisdiction, subject to mandatory consumer protections that cannot be waived by contract.

If you are a consumer in the European Economic Area or United Kingdom, you may also have mandatory rights under local consumer and data protection laws, and nothing in these Terms limits those rights where they cannot be waived by contract.
